You grant Jerry’s and its affiliates an unlimited, royalty-free, perpetual, irrevocable, worldwide, sublicensable license to copy, modify, publish, and distribute your content for any purpose. 12. Proprietary Rights
The Services, including text, images, logos, software, and all other materials, are the exclusive property of Jerry’s or its licensors and are protected by law. Unauthorized use is prohibited.
13. Indemnity
You agree to indemnify, defend, and hold harmless Jerry’s and its affiliates from all claims, damages, and expenses arising from your use of the Services or violation of these Terms.
14. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. JERRY’S DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR FREE.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JERRY’S AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OF THE SERVICES.
16. Minors
Use of the Services by a minor requires the consent of a parent or legal guardian, who will be responsible for all activity by the minor.
17. Third-Party Websites
The Services may link to third-party websites. Jerry’s is not responsible for their content, accuracy, or policies. You should review the terms and privacy policy of any third-party site you visit.
18. YouTube
Content on the Site may include videos and other embedded content, such as YouTube videos. Jerry’s uses the YouTube API Services to allow access to YouTube content from our Site. By accessing such content, you agree to be bound by YouTube’s Terms of Service at https://www.youtube.com/t/terms.
19. Feedback
If you provide comments or feedback to Jerry’s, you agree that we may use them freely without any obligation to you.
20. Third-Party Beneficiaries
These Terms do not confer any rights or benefits on any person other than you and Jerry’s, except that our affiliates are third-party beneficiaries.

22. Jurisdiction, Applicable Law, and Limitations
These Terms are governed by the laws of the State of North Carolina and the United States. You agree to binding arbitration for any disputes, and waive the right to a jury trial or class action. Legal proceedings must be filed in Raleigh, North Carolina.
23. Survival
Provisions that are intended to survive termination, including those related to indemnification, limitations of liability, and dispute resolution, will remain in effect after termination.
24. Notice & Electronic Communications
All notices must be in writing. Communications between you and Jerry’s may be provided electronically where permitted by law. Please print or save a copy for your records.
25. General
Entire Agreement: Except as expressly provided in any notice or policy on particular pages of the Services, these Terms, including our Privacy Policy and, as applicable, our Return Policy, our Gift Card Terms, the Jerry’s Preferred Customers Terms & Conditions, any applicable artwork release forms, rules and terms governing our Affiliate Program, and any Jerry’s giveaway rules, constitute the entire agreement between you and Jerry’s with respect to the Services, superseding all prior agreements.
